Article I: Name
Name:
The name of the organization shall be “St. Michael the Archangel Home & School
Association” in the Diocese of Allentown, State of Pennsylvania, herein after referred to
as the “Association.”
Article II: Mission
The mission of the Association is to support the school’s efforts to nurture students,
challenge minds, and inspire faith-filled leaders.
The Association will achieve this by building a strong community, supporting our
educators and staff, and positioning our school for success.
Our values are to be inclusive, and action driven.
Article III: Authority
This Association shall function with the consent of the Principal. The Principal may
designate Administrators to fulfill the responsibilities enumerated to the Principal in these
by-laws.
Article IV: Membership
General Membership in this Association shall be open to all Parents or Guardians of the
students registered at the St. Michael the Archangel School.
Article V: Finances
The Fiscal year shall be July 1 to June 30.
The proceeds of the Association fundraising events shall be used for any school purpose
as determined by the Executive Board in consultation with the Principal as part of a fiscal
year budgeting process.
Article VI: Officers
Section I
Officers:
The officers of this Association shall consist of a President, First Vice President, Second
Vice President, Secretary, and Treasurer. The terms of office shall be for one (1) year.
The Second Vice President, Secretary and Treasurer are elected annually. The incumbent
Second Vice President serves as First Vice President in the following Fiscal Year. The
incumbent First Vice President serves as President in the following Fiscal Year. The
incumbent President vacates the seat in the following Fiscal Year. All officers must be
eligible members of the Association.
Section II
President:
A. Shall preside at all meetings of the Association.
B. Shall be an honorary member of all committees, and as such, shall receive
notice of all meetings of the Association and its committees.
C. Shall have no power to bind the Association in contracts or undertakings
unless specifically authorized by the majority vote of the Executive Board and
approved by the Principal.
Section III
Vice Presidents:
A. The First Vice President shall perform the duties of the President in his/her
absence.
B. The Second Vice President shall perform the duties of the President should the
First Vice President be absent.
C. Shall have no power to bind the Association in contracts or undertakings
unless specifically authorized by majority vote of the Executive Board and
approved by the Principal.
Section IV
Secretary:
A. Shall keep minutes of all Association Meetings and publish those minutes
online.
B. Shall maintain a calendar of events.
C. Shall assume the duties of President or Vice Presidents in the event of their
absence.
D. Shall have no power to bind the Association in contracts or undertakings
unless specifically authorized by majority vote of the Executive Board and
approved by the Principal.
Section V
Treasurer:
A. Shall be the custodian of all funds.
B. Shall sign all financial documents and checks.
C. Shall make a written financial report at each Association Meeting to be
included in the Association minutes. An annual written financial report shall
be completed at the end of the fiscal year and published online.
D. Shall file an annual report to the Parishes.
E. Shall keep records in such order that they may be audited upon the request of
the board.
F. Shall be empowered to spend appropriate and reasonable monies for events,
activities and function support and logistics, which have been approved by the
Executive Board.
G. Shall have no power to bind the Association in contracts or undertakings
unless specifically authorized by majority of the executive Board and
approved by the Principal.
Article VII: Executive Board
Section I
The Executive Board shall be the governing body of the Association.
Section II
The Executive Board shall consist of the Association’s President, First Vice President,
Second Vice President, Secretary, and Treasurer. The School’s Principal shall serve as a
non-voting member. The parish pastors shall serve as non-voting members.
Section III
The quorum of the Executive Board shall be a majority of the officers.
Section IV
The Executive Board shall have the right to fill any vacancies among the officers of the
Association, subject to the approval of the Principal.
Section V
The Executive Board shall have the right to create or dissolve committees and shall have
the power to appoint chairpersons.
Section VI
It shall be the responsibility of the President to determine the Association meeting
agenda.
Section VII
An Executive Board seat may be deemed vacant by the President if an officer fails to
attend three consecutive Executive Board Meetings.
Article VIII: Nominations and Elections
Section I
Officer candidates shall submit their names to the Principal at least 20 days before the
Election Meeting. The Principal will notify Association members of the candidate slate
at least 15 days before the Election Meeting.
Section II
The Principal will conduct Election Meetings.
Section III
The Election Meeting is held in May. The Election Meeting shall be held in-person.
Section IV
At the Election Meeting, officers shall be elected by secret ballot by majority vote.
Unopposed candidacies do not require balloting.
Section V
Eligibility to vote is limited to the parents or guardians of students enrolled in the School.
Votes shall be tallied, and the results announced prior to adjournment of the Election
Meeting.
Section VI
One vote shall be granted to each household with students enrolled in the school. Proxy
voting is not permitted.
Section VII
The Principal may implement a system for remote balloting. Ballots cast remotely shall
be tallied in advance of the Election Meeting.
Section VIII
Ties shall be broken via coin toss.
Section IX
Should no candidates stand for election to any office, the Principal may appoint officers
at the Election Meeting to fulfill terms.
Article IX: Association Meetings
Section I
Association meetings are conducted by the Executive Board.
Section II
An Association meeting schedule shall be adopted by the Executive Board in June.
Section III
Association meetings shall be held monthly. Association meetings may be held virtually.
Section IV
Administrators, Faculty members, and Parents or Guardians of the students registered at
the St. Michael the Archangel School are eligible to attend Association meetings.
Article X: Amendments
Section I
Amendments to the by-laws may be proposed by any member of the Association.
Section II
Proposed amendments to the by-laws must be considered by the Executive Board within
120 days.
Section III
These by-laws may be amended at an Association meeting by a unanimous vote of the
Executive Board members and approval of the Principal.
Article XI: Dissolution
Section I
The Executive Board and Association may be dissolved by correspondence to the
Allentown Diocese from the Principal and Pastors.
Section II
Notice of such dissolution correspondence must be provided to the Executive Board and
Association within forty-eight hours. The Principal may appoint new officers of the
Association.
